Registration Process Overview

  1. Consultation — Determine the right structure based on your business scope and industry
  2. Document Preparation — Prepare and notarize required company and personal documents (apostille since November 2023 for most countries)
  3. Name Approval — Reserve your company name with the Administration for Market Regulation
  4. Business License — Receive your official Chinese business license
  5. Post-Registration — Company chops, bank account, tax registration, and compliance setup

What comes after the licence matters as much as the licence itself — see our post-registration services for accounting, fapiao, bank and annual compliance.

Registration Timeline: What Happens in Each Week

Fourteen working days is the licence. It is not the company. The table below is the full path we run for a standard WFOE or JV in Qingdao, including the parts that happen in your own country before anything is filed in China.

Stage Working days What is actually happening Can you do it from abroad?
Document legalisation 5-15 Notarisation at your end, then apostille or consular legalisation, then certified Chinese translation Yes – this is the long pole, start it first
Name pre-approval 1-3 Company name checked against the register and reserved; Chinese name must be provided Yes
Filing and business licence 5-10 Market regulation bureau reviews articles of association, business scope, address and capital; licence issued Yes, with a power of attorney
Chops and tax set-up 3-5 Company seal set carved and recorded, tax bureau supplementary registration, invoice type approved Partly – needs a local representative
Bank account and capital 10-20 Bank KYC, foreign exchange registration, capital account opened, first capital instalment wired in No – normally one visit for identity verification
Operating readiness Ongoing Fapiao issuance, social insurance, customs registration, monthly filing calendar Only with someone on the ground

The stages overlap if documents are ready. They also collapse into a month of waiting if the legalisation chain is wrong – which is the subject of the next section.

Documents You Need, and How They Must Be Legalised

Every registration failure we see starts here, not at the filing counter. Chinese authorities accept foreign documents only when the legalisation chain is complete and the translation is done by an agency they recognise.

Document Corporate shareholder Individual shareholder Where it usually goes wrong
Identity Certificate of incorporation, plus good standing certificate Passport biodata page Certificate older than six months is refused by some bureaus
Investment authority Board resolution naming the China entity and the capital commitment Signed statement of intent Resolution silent on amount or on who signs
Signatory power Power of attorney for the local filing agent and the legal representative Same, plus a signed Chinese-name declaration Signature does not match the passport or the notary record
Address proof Registered office certificate or utility bill of the parent Residential address proof Name and address in Latin script only, no translation
China address Lease agreement for the registered address, with the landlord’s property certificate Same Residential unit offered as an office; no invoice from the landlord
Legal representative ID, photo, mobile number, and a China-usable signature specimen Same Person never told they carry signature authority and personal exposure

Apostille or consular legalisation – the one question that decides your timeline

China has been a party to the Hague Apostille Convention since 7 November 2023, so public documents issued in a member state need only an apostille. That is one step instead of three, and it cut weeks off the process for most of our clients.

Not every country is a member, and this is where projects stall. The United Arab Emirates is not a party to the Apostille Convention. A UAE-issued certificate of incorporation or board resolution must still go through notarisation, then authentication by the Ministry of Foreign Affairs (MOFAIC), then legalisation by the Chinese embassy or consulate, and only then a certified Chinese translation. That chain typically adds two to four weeks, and it cannot be compressed by paying more.

Pakistan, Vietnam and Singapore are all member states, so apostille applies. Even so, the apostille must cover the exact document being filed – an apostille on a different certificate does not transfer. If you are unsure which route your documents take, send us the country of issuance and the document list and we will tell you the chain before you spend anything on notaries.

What Registration Really Costs

Quotes in this market are not comparable, because they leave out different things. Below is what a China registration actually consumes, so you can put any quote next to it line by line.

Cost line Typical range Paid to Notes
Government filing and licence Negligible in most cities Market regulation bureau Registration fees have largely been abolished; the licence itself is not the cost
Notarisation and apostille or legalisation USD 300-1,200 Notary and foreign ministry in your country Driven by document count, not by company size; the UAE consular chain sits at the top of the range
Certified Chinese translation USD 100-300 Recognised translation agency Cheap translations get rejected at the counter and cost a full re-submission
Registered address Included or USD 500-1,500 per year Landlord or park operator Must be a commercial address with a lease the bureau accepts
Chops, tax devices, first bookkeeping USD 300-800 Seal maker, tax bureau, bookkeeper This is the first year only; year two adds monthly bookkeeping
Registered capital Your own money Your new company’s capital account Not a fee. It must be paid in within five years, and it is what shareholders are liable for
Annual compliance from year two USD 1,500-4,000 per year Bookkeeper, auditor where required Bookkeeping, VAT and corporate income tax filings, annual report, and the audit if your industry needs one

Why the cheapest quote usually costs more

A quote that excludes legalisation, the registered address and the first year of bookkeeping is not a cheaper quote – it is a smaller quote. The three items above are the ones that get invoiced later, at the moment you have no alternative. Ask any provider for these three lines in writing before you compare totals.

The First 30 Days After the Licence

This is the part nobody quotes for, and it is where a company that looks registered starts losing money. The licence is a piece of paper; these are the obligations that make it usable.

Deadline Obligation What happens if it is missed
Day 1-5 Company chops carved and the seal record filed You cannot sign a contract or open a bank account
Day 1-10 Tax bureau supplementary registration, tax categories confirmed, invoice type approved No fapiao means you cannot invoice a customer, so you cannot collect revenue
Within 30 days Foreign investment information report filed through MOFCOM’s foreign investment system Recorded as non-compliant; later capital increases, equity changes and repatriation get questioned
Within 30 days of first hire Social insurance and housing fund registration for each employee Back contributions plus late payment surcharges, and exposure to a labour dispute
Before first shipment Customs consignor or consignee registration and e-port account Goods sit at the port; storage and demurrage accrue daily
Monthly and quarterly Bookkeeping, VAT filing, corporate income tax prepayment Fines from the first overdue day, and loss of normal taxpayer status
1 January – 30 June, every year Annual report on the national enterprise credit information system Listed as abnormal operations; blocks bank facilities, bidding and visa applications for staff

None of these are registration tasks. They are operations tasks, and they are the reason we stay on after the licence is issued. An agent who disappears once the licence is delivered has done the easy half. A company that discovers the tax and customs items three months late usually pays more in penalties and lost shipments than the whole registration cost.

Five Reasons a Registration Stalls

We have run this process for companies from more than 50 countries. The same five issues account for almost every delay we are called in to rescue.

  1. The legalisation chain is wrong for the country of issuance. Non-member states such as the UAE need the full notary, MOFAIC and consular route. Two to four weeks lost, and the documents have to be redone from the start.
  2. The business scope is written too narrowly or too loosely. Too narrow and the customs or tax system will not accept your actual activity; too loose and the bureau asks for clarification. Either way the licence is issued and then amended, which is a separate filing and a separate fee.
  3. The registered address is not acceptable. A residential unit, a virtual address without a lease, or a landlord who cannot issue an invoice will stop the submission. Rejection means the file goes back to the end of the queue.
  4. Registered capital is set unrealistically high. Shareholders are liable up to the subscribed amount, and since the 2024 Company Law revision the money must be paid in within five years. A number chosen for appearance becomes a funding obligation.
  5. The wrong person is named legal representative. That person carries signature authority and personal exposure for compliance failures. Changing the legal representative later means another filing plus a fresh bank KYC, and the bank will ask why.

Each of these is decided in a single conversation, before anything is filed. That conversation is the cheapest part of the project and the one most often skipped.

Why Register in Qingdao?

Qingdao is home to the Shandong Pilot Free Trade Zone, offering preferential policies for foreign-invested enterprises including simplified customs procedures, reduced tax rates, and streamlined administrative processes.

Qingdao also gives you a coastal port with direct shipping lanes to Korea, Japan and Southeast Asia, a deep manufacturing and supply-chain base, and local incentives for qualifying FDI projects that other first-tier cities no longer offer.

Frequently Asked Questions

How much registered capital do I need?

There is no statutory minimum for most structures. Under the 2024 Company Law revision, registered capital must be paid in within five years. As a practical benchmark, trading and consulting companies usually commit USD 30,000–100,000.

How long does the whole process take?

The business licence takes about 14 working days with complete documents; bank account opening and capital injection take 2–4 more weeks. Plan 4–8 weeks to a fully operational company.

Do I need to be in China for the registration?

No — documents can be prepared and signed abroad with notarisation and apostille. You will normally visit for bank account opening and identity verification.

Can I change structure later?

Yes — an RO can be followed by a WFOE, and a WFOE can become a JV by selling equity to a Chinese partner. Each is a separate filing, and information changes are a standard compliance service.

What does the service cost?

Registration is offered as Service Package A at a fixed fee; licence renewal and bank account support are USD 1,000 per year each. Contact us for a written quote matched to your structure.

Do documents from the UAE need an apostille?

No. The United Arab Emirates is not a party to the Hague Apostille Convention, so UAE documents go through notarisation, MOFAIC authentication, legalisation by the Chinese embassy or consulate, and then a certified Chinese translation. Budget two to four extra weeks compared with an apostille country such as Singapore, Vietnam or Pakistan.

What happens if I do not file the annual report?

The company is listed as operating abnormally on the national enterprise credit information system. That listing can block bank facilities, government tenders and visa applications for your staff, and removing it requires an application plus a review. It is a deadline we track for every client, every year, between 1 January and 30 June.

Can one person be sole shareholder and legal representative?

Generally yes for a WFOE, and it is common. It does mean the same individual holds the equity and the signature authority, so the compliance calendar matters more, not less. Where a group needs separation between ownership and signature, we usually name a China-based legal representative and keep the shareholder offshore.
